The website www.baboon.ro and all related domains, subdomains, and applications (hereinafter collectively referred to as the Platform or Site) are the direct property of Baboon Software SRL, a Romanian company headquartered in Cluj-Napoca, str. Henri Barbusse, no. 87, registered at the Trade Register Office Cluj No. J20/1652/2015, Tax Identification Number: RO35636400, email contact@baboon.ro, phone +40 (0) 726.785.929 (hereinafter referred to as the Company, Provider, or Baboon).
I. Site Presentation
Through the site, Baboon Software presents and provides you with services specific to digital technology, such as web design services, custom application development, branding and strategy, AI integrations (conversational chatbots, automations, data analysis), website/online store creation/management, online promotion, website maintenance, hosting, and technical support.
By accessing the site, you have the opportunity to learn about the composition of services offered by Baboon Software and to contact the Company to request quotes for available services.
Baboon Software may publish on the Platform information about Services and/or promotions practiced by it or by any other third party with whom Baboon Software has partnership agreements, during a certain period of time.
II. Site Usage Conditions
The use of the Platform for placing an Order, requesting a quote, or viewing is permitted to any User who acts with a legitimate purpose and who intends to purchase from the Provider one or more Services presented on the Platform, in compliance with these terms and conditions.
Abusive use of the Platform is strictly prohibited. Abusive use means any use of the Platform in a manner contrary to fair commercial practices, current legislation, or in any other way that would be likely to harm Baboon Software or its affiliates in any way.
Baboon Software reserves the right to deny access to some Customers to some or all of the Platform's functions and to restrict the processing and/or delivery of an Order if, in Baboon Software's reasonable opinion, there are suspicions of fraud on the part of the User, if the User has behavior that may harm Baboon Software's or its affiliates' interests, or if the User abusively uses the Platform.
III. Accessing Services
A. Services with Immediate Execution
To benefit from services that require immediate execution, such as website development, custom applications, branding, website optimization, AI integrations, online promotion, you have the possibility to request a quote from Baboon Software.
To request a quote, in the section dedicated to the respective services on the site or in the header of the site's main page, you have a quote request button that you can select, after which you will complete all the data requested in the generated form.
B. Ongoing Services
Maintenance, hosting, technical support, monitoring, and backup services are offered as monthly, quarterly, semi-annual, or annual subscriptions.
The subscription is paid in advance for the selected period. There is no automatic recurring card payment - each period requires a new invoice and manual payment (bank transfer or payment link).
C. Services with AI Integrations
Services that require AI integrations (conversational chatbots, AI automations, AI data analysis) are delivered with the software/API licenses necessary for operation.
AI licenses (e.g., Anthropic Claude API, OpenAI API, Google Cloud AI) are purchased and owned by Baboon Software. The cost of AI licenses is included in the monthly/quarterly/annual maintenance fee, clearly specified in the quote.
IV. Prices / Invoices / Payments
Service prices are expressed in EUR + VAT (according to current legislation). For contracts and invoices, prices are calculated at the NBR (National Bank of Romania) exchange rate on the invoice issue date +2%.
Accepted payment methods:
- Bank transfer (Baboon Software IBAN provided in proforma invoice)
- Online payment via link (approved processors: Stripe, Netopia, PayPal)
V. Right of Withdrawal and Cancellation
Baboon.ro offers customized services (web development, branding, custom applications, AI integrations). According to Art. 16 lit. a) of GEO 34/2014, services are exempt from the right of withdrawal after the start of execution, with the prior express consent of the User.
The User declares that they understand and accept that after work has begun (e.g., brief approval, kick-off meeting, first drafts), they cannot request a full refund. The advance paid covers actual work costs (team hours, licenses, resources).
VI. Liability
The Provider is not liable for any damages caused to the User or any third party as a result of the Provider's fulfillment of any of its obligations under the Order, nor for damages resulting from improper use of the services provided.
The Provider cannot in any case be responsible for any loss of use, contracts, data, goodwill, revenue or profits, or any subsequent, special, indirect, incidental, punitive, or exemplary loss, damage, or expense under or in connection with this Contract and its Services.
VII. Intellectual Property
The entire content of the www.baboon.ro site (including, but not limited to, logos, stylized representations, trademarks, texts, static or dynamic images, audio and video content, graphics) is the exclusive property of Baboon Software SRL and is protected by copyright and intellectual property laws.
The use, copying, reproduction, modification, distribution, publication, or transmission of any content element without the prior written consent of Baboon Software SRL is prohibited.
